1. Acceptance of Terms

By accessing and using Clavira's services, you accept and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Clavira provides quality assurance services including but not limited to:

  • Fractional QA Leadership
  • ISO 9001 Audits and Compliance
  • AI-Powered Testing Implementation
  • Manual and Automated Testing Services
  • QA Process Optimization

3. Service Terms

3.1 Service Agreements

Specific services will be governed by separate service agreements or statements of work that detail scope, deliverables, timelines, and fees.

3.2 Client Responsibilities

Clients agree to:

  • Provide necessary access and information for service delivery
  • Assign appropriate personnel for collaboration
  • Make timely decisions and approvals
  • Pay fees as agreed in service agreements

4. Fees and Payment

4.1 Pricing

Service fees are as specified in individual service agreements. All prices are in PLN unless otherwise stated.

4.2 Payment Terms

Payment terms are Net 30 days from invoice date unless otherwise specified. Late payments may incur interest at 1.5% per month.

4.3 Expenses

Client agrees to reimburse reasonable travel and accommodation expenses when on-site services are required, subject to prior approval.

5. Intellectual Property

5.1 Client Property

All client materials, data, and intellectual property remain the property of the client.

5.2 Clavira Property

All methodologies, frameworks, tools, and pre-existing intellectual property of Clavira remain our property.

5.3 Work Product

Unless otherwise agreed, deliverables created specifically for the client become client property upon full payment.

6. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information shared during the engagement. This obligation survives termination of the agreement.

7. Warranties and Disclaimers

7.1 Service Warranty

Clavira warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

8. Limitation of Liability

In no event shall Clavira be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

9. Term and Termination

9.1 Term

These terms apply for the duration of any service engagement between Clavira and the client.

9.2 Termination

Either party may terminate services upon 30 days written notice. Client remains responsible for fees for work performed.

10. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims arising from their own negligence or breach of these terms.

11. Governing Law

These terms shall be governed by the laws of New Zealand. Any disputes shall be resolved through good faith negotiation, and if necessary, through arbitration.

12. Modifications

Clavira reserves the right to modify these terms at any time. Changes will be effective upon posting to our website.
